UserAudio® Participation Agreement

Counsel should rewrite this before anyone relies on it. The product needs a way to stay in deals it introduces — without claiming ownership of songs it did not write.

Draft pending counsel review

This page is a placeholder so the new site can ship. It is not the legacy Magento policy and it is not legal advice. Do not treat it as the live contract until counsel rewrites and we publish a dated version.

UserAudio® and Your Audio, Your Way are trademarks of UserAudio, a US company. Draft pending counsel.

What this lane is for

Discover lets a creator list a track for a small fee and collect singer nominations. If UserAudio introduces the creator to a performer or a licensee, the platform should not be cut out of the resulting license. That is the point of this stub.

Placeholder economics

Draft rate for discussion: 15% of qualifying license income (subject to counsel). Qualifying income is meant to include sync, master, and performance license fees that follow a UserAudio introduction, in perpetuity. It is not meant to include live gig fees the singer later books on their own, or work that never touched this site.

Fair split (intent)

  • The creator keeps composition ownership unless they later sell or assign it in a separate, written deal.
  • The singer negotiates their performance and any neighboring-rights or featured-artist terms.
  • UserAudio’s participation applies only to deals introduced or closed through the platform — Discover intros and Needs a Voice hires that started here.
  • Off-platform side deals on a UserAudio introduction void platform benefits. The live document needs a clear notice-and-cure path.

What counsel should decide

  • The exact percentage, duration, and which income streams count.
  • How to collect when a PRO, publisher, or label sits in the middle.
  • Notice, audit, and what “introduced via UserAudio” means.
  • What happens if a party closes off-platform after a nomination.
  • How this sits next to Needs a Voice’s 15% performer-payout fee.

This page is not a contract, not legal advice, and not the Magento-era terms. Discover’s invite and license-intro buttons require a demo acceptance of this stub so reviewers can see the intended gate.
