These are not the old Magento terms of service. They are an outline of what still applies from the first site, plus what this rebuild actually does, so counsel can write a dated contract.

This is a first release of the rebuilt website. It may not contain every feature of a later version. Use it knowing that. Do not treat this page as a contract.

Who this draft names

Product copy uses UserAudio, a US company. The Magento terms named “UserAudio, Inc.” The Magento privacy policy named “UserAudio, LLC.” This rebuild does not pick one. Counsel will.

Topics that still apply (draft)

  • Who may use the site, and the age floor. The Magento terms said 16; counsel must confirm what this release will require.
  • You are responsible for the email you sign in with. Tell us if you think someone else used it.
  • What you grant UserAudio® when you post a lyric, excerpt, pitch, or audition — a limited license to host, show, and (where you asked us to) sell or introduce a deal. You keep composition ownership unless you later sell it in a separate writing. Counsel will write the exact grant.
  • Uploads must match the house rules, this outline, the copyright page, and applicable law. Do not upload work you do not have rights to. Do not post offensive, abusive, libelous, or illegal material. Do not attack the service with malware or overload.
  • What a Make a Song purchase includes — and what it does not. You pay for the package you pick. Prices can change. If technical failure blocks delivery, replacement or refund is the intended exclusive remedy, subject to counsel.
  • Needs a Voice hire, cancellation, and the 15% performer fee.
  • Discover listing fees and the draft participation grant (perpetual % of qualifying license income, subject to counsel).
  • A hard ban on cloning, model training, and impersonation.
  • Acceptable-use rules that match the User Commandments.
  • Limitation of liability appropriate to a small audio service. The Magento terms described the service as a host for user uploads, not a reviewer of every file. Counsel will decide how far that goes.
